                ⚠️ Important Notice: By using FileWalla Controlled Delivery, you agree to these Terms of Service. We use server-side encryption (NOT end-to-end) which allows us to scan files for illegal content and comply with law enforcement. Encrypted archives are strictly prohibited.            

1. Acceptance of Terms

By accessing or using FileWalla Controlled Delivery, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our service.

2. Service Description

FileWalla Controlled Delivery provides secure file sharing and group collaboration services with server-side AES-256-CBC encryption. Our platform is designed for legal use only.

3. Acceptable Use Policy

You agree NOT to:

Upload or share illegal content (including CSAM, pirated materials, or illegal files)
Upload password-protected ZIP, RAR, 7z, or other encrypted archive files
Use the service for criminal purposes or to facilitate illegal activities
Attempt to bypass security measures or access other users' files
Share your account credentials with others
Upload files containing malware, viruses, or harmful code

                🚫 Zero-Tolerance Policy: Encrypted archives (password-protected ZIP/RAR/7z files) are strictly prohibited. Three violations result in automatic account suspension. This policy exists because we cannot scan encrypted archives for illegal content.            

4. Server-Side Encryption & Content Moderation

FileWalla uses server-side encryption, which means:

Your files are encrypted and protected from unauthorized access
Our administrators CAN access files when legally required for content moderation
We scan files for illegal content to prevent criminal abuse
We cooperate with law enforcement and report illegal material to authorities
We may report CSAM to NCMEC, Cybertip.ca, and Canadian law enforcement

5. Account Suspension & Termination

We reserve the right to suspend or terminate accounts that:

Violate our Acceptable Use Policy
Upload encrypted archives (3-strike policy)
Upload illegal content
Engage in abusive behavior
Fail to pay subscription fees

6. Subscription & Billing

Subscription fees are charged monthly or annually via Stripe. You must maintain a valid payment method. Failure to pay may result in service suspension. All sales are final — no refunds will be issued. When you cancel your subscription, your service will remain active until the end of your current billing period, after which access will expire.

7. Data Retention & Deletion

Files are automatically deleted after 14 days (Advanced) or 30 days (Premium+). We retain audit logs and metadata for legal compliance purposes.

8. Limitation of Liability

FileWalla Controlled Delivery is provided "as is" without warranties. We are not liable for data loss, service interruptions, or damages resulting from your use of the service. Maximum liability is limited to the amount you paid for the service.

9. Canadian Law & Jurisdiction

These Terms are governed by Canadian law. Disputes will be resolved in Ontario, Canada.

10. Changes to Terms

We may update these Terms at any time. Continued use of the service after changes constitutes acceptance of the new Terms.
